Ludoil Energy signs agreement to acquire ISAB, creating Italy’s largest privately held multi-energy company
Ludoil Energy S.p.A. has signed a Sale and Purchase Agreement through its subsidiary Ludoil Capital S.r.l. to acquire a controlling stake in ISAB S.r.l. from GOI Energy S.r.l., in a transaction set to create Italy’s largest privately held multi-energy company.
The deal, which remains subject to approval under Italy’s Golden Power regime and antitrust clearance, will transfer ownership of the Priolo Gargallo refinery and associated industrial and energy infrastructure to Ludoil. The facility, located in south-eastern Sicily across the municipalities of Priolo Gargallo, Augusta, and Melilli, is Italy’s largest refining complex with an authorised capacity of 20 million tonnes per year, making it a critical asset for national energy security.
Once completed, the acquisition will mark a major expansion of Ludoil’s industrial footprint, combining crude oil processing, power generation, and advanced biofuels within a single integrated energy platform. The enlarged group is expected to generate consolidated revenues exceeding €10 billion annually, positioning it among the largest privately held companies in Italy.
According to the company, the transaction represents a strategic milestone that will reposition ISAB from a traditional refining operator into a diversified energy company. The site is expected to become a key hub for energy flows between Europe, Africa, the Americas, and the Middle East.
Ludoil outlined plans to develop advanced biofuel production capabilities over the medium term, including Hydrotreated Vegetable Oil (HVO), Sustainable Aviation Fuel (SAF), bio-oil, second-generation bioethanol, and BioETBE, aligning with European Union decarbonisation objectives under the EU Renewable Energy Directive III.
The transformation strategy also includes investments in renewable energy generation, adding 20 MW of capacity to the existing 540 MW power and cogeneration assets already operating at the Priolo site. These developments are part of a broader industrial transition in the region aimed at strengthening Sicily’s role in the Mediterranean energy landscape.
Ludoil confirmed that the acquisition will preserve the full existing workforce at ISAB, which it described as a long-established centre of engineering and refining expertise in Italy. The company added that future development of the site is expected to create additional employment opportunities through partnerships with academic and research institutions.
The group also highlighted the strategic fit between Ludoil’s logistics and infrastructure portfolio and ISAB’s industrial capabilities, enabling full vertical integration across sourcing, processing, storage, and distribution. Ludoil’s existing assets include coastal storage terminals, fuel distribution networks, and renewable energy generation facilities such as biomethane, solar, and wind projects.
Following completion, the combined entity will be positioned as Italy’s leading privately held multi-energy operator, reflecting a broader shift toward integrated and lower-carbon energy systems while reinforcing the strategic importance of domestic refining and energy infrastructure.
